乙方 

 

聊城市市政经营开发中心(甲方) 聊城市火车站广场LED宣传屏使用经由                     在国内平台进行公开拍卖,                   (乙方竞拍得租赁权。甲、乙双方根据《中华人民共和国民典法》和其他法律、法规的规定,并按照公正、平等、自愿、诚实信用的原则,同意按照以下条款和条件,签署本合同。

第一条 具体位置及内容

1.位置:聊城市火车站广场 

2.内容:聊城市火车站广场LED宣传屏使用

第二条 合同期限和费用

1.合同         日起        日止,租赁期叁年。在执行合同期间,若遇上级政策改变或甲方业务范围变动,甲方有权终止合同或对合同内容进行变更。

2.租赁合同期满或终止解除,乙方应如期交还所租赁电子屏;乙方逾期不交还的,甲方有权收回所租赁电子屏

3.租赁费用:经公开拍卖成交价为每年的租赁费人民币      元,叁年租赁期共计人民币        元,大写             整。乙方须于拍卖成交后一次性交齐第一年租赁费下一年度租赁费应在上一年度租赁到期日前一个月交纳如未按期交纳,按乙方违约处理,甲方有权收回并对外行使租赁权。

第三条 双方责任

1.乙方根据竞拍得的LED电子宣传设施的宣传时间,保证60%宣传时间用于公益宣传,40%宣传时间进行商业宣传。乙方应自觉遵守甲方各项规章制度并服从甲方的监督管理。

2.甲方有权监督检查LED电子宣传屏的合法、合理使用;乙方发布的商业宣传广告形式与内容应符合《中华人民共和国广告法》及相关法规、规章的要求,不侵犯他人知识产权。因广告的制作、发布内容(包括但不限于商标、肖像、广告词及其它广告内容)引起的法律纠纷和责任由乙方承担甲方有权要求乙方撤除和整改不符合法律规定、不符合委托人规定的内容和版面(包含医院广告、医疗广告等);如违法发布广告造成他人人身、财产损失等情形的,乙方应充分赔偿因此而给甲方造成的一切损失(包括但不限于委托人因此向第三方支付的违约金、赔偿金、行政处罚金及诉讼费、差旅费、律师代理费等各项费用)。

3.甲方有权审查乙方商业宣传的设计方案,对乙方制作、发布的内容和版面进行查验;如乙方在设计和发布过程中存在安全隐患和责任风险的,甲方有权要求乙方进行整改;乙方负责对LED电子宣传屏的保养、维护、维修、保洁等,所产生的费用自行承担。如存在安全隐患或外观破损,甲方有权要求乙方进行保养维护,否则甲方有权进行维护,产生的一切费用及后果由乙方承担。

4.甲方有需发布公益性广告不仅限于节假日或重大宣传时间),乙方需无条件服从乙方必须确保公益宣传有效的宣传时间

5.乙方依法遵守相关法律法规,负责LED电子宣传屏设施的治安、消防、卫生、用电等安全工作,并承担责任。租赁期间,乙方必须保证宣传设施的安全,出现任何问题(不限于天气等因素)造成安全责任与损失,均由乙方自行承担。

6.租赁期间,不得将承租拍得物进行任何形式的抵押、担保,否则甲方有权单方面解除合同并追究相应责任。

7.乙方负责LED电子宣传屏设施每次使用过程中的技术调控、制做、维护、保养及内容更换(新);根据甲方的宣传工作要求,负责制做、更换相应的宣传内容。 8.乙方承担LED电子宣传屏租赁期间所产生的用电、用水、人员操作及维护维修费用。

9.乙方有义务爱护并合理使用各项设施,如需改动应先书面申请并征得甲方同意,损坏部分还应承担修复或赔偿责任

10.合同所涉及到的LED电子宣传屏设施,双方达成协议后,保证所移交的宣传设施质量可靠,如有质量问题,双方协商解决。

11.甲方以外的不可抗拒的因素须收回使用权的,乙方须无条件服从,双方不承担任何责任和损失

12.甲方、政府、甲方的上级主管部门因国家、城市建设、主管部门规划与管理需要收回使用权的时,双方应无条件配合整体规划与管理工作,双方不承担任何责任和损失

第四条 其他约定

1.合同期满后,甲方根据各乙方工作情况,考虑是否续签服务合同或重新组织招标。

2.因不可抗力致使一方不能及时或完全履行合同的,应及时通知另一方,双方互不承担责任,并在15天内提供有关不可抗力的相应证明。合同未履行部分是否继续履行、如何履行等问题,可由双方协商解决,并以书面形式给予确定。

第五条 合同解除的条件

有下列情形之一的,本合同终止,甲乙双方互不承担违约责任:

1.因法定不可抗力致使设施设备毁损、灭失或造成其他损失而无法继续使用的;

2.非甲乙双方因素致使合同终止的其他情形。

乙方有下列情形之一的,甲方有权解除本合同:

1.不支付或者不按照约定支付租金;

2.不支付或者不按约定支付应由乙方负担的各项费用;

3.未经甲方书面同意,乙方擅自改变该合同约定用途;

4.违反合同约定不承担维护责任致使设备设施损坏;

5.从事违法活动;

6.双方约定的其他情形。

第六条 争议的解决方式

合同发生纠纷时,双方应协商解决,协商不成可以采用下列方式解决:

(1)提交聊城仲裁委员会仲裁;

(2)向甲方当地人民法院起诉。

本合同发生纠纷,经双方协商不能解决时,首先采用(1)种方式予以解决。

第七条 补充协议

1.合同未尽事宜,经双方协商可签订补充协议,所签订的补充协议与本合同具有同等的法律效力。合同补充条款不应违背原合同实质性内容

2.本合同的签署及合同项目的实施由                为合同签署的鉴证方。

第八条 合同保存

本合同一式份,甲方份,乙方份,拍卖机构本协议签字盖章生效。
